Client Agreement

Introduction 

By signing this agreement, the client acknowledges and agrees to the following terms and conditions outlined by Global Dental Recruitment (hereinafter referred to as "the Company") for the purpose of engaging in recruitment services to hire overseas dentists.


Non-Circumvention 

The client agrees not to enter into any direct agreements or transactions with candidates introduced by the Company, whether during the term of this agreement or within twelve (12) months from the termination of this agreement. This includes but is not limited to offering employment, contracts, or engaging in any form of business transactions without the Company's prior written consent.


Confidentiality 

The client agrees to maintain strict confidentiality regarding all information, documents, and proprietary knowledge shared by the Company. This includes, but is not limited to, candidate details, resumes, interview notes, and any other sensitive information obtained during the recruitment process.


Fee Payment 

The client agrees to pay the Company the agreed-upon recruitment fee as outlined in a separate agreement or fee schedule. Payment shall be made promptly upon the successful hiring of a candidate introduced by the Company. Failure to make timely payment may result in legal action to recover the outstanding fees.


Indemnification 

The client agrees to indemnify and hold the Company harmless against any claims, losses, damages, or expenses arising out of the client's breach of this agreement, including any violation of non-circumvention provisions.


Governing Law and Jurisdiction 

This agreement shall be governed by and construed in accordance with the laws of Canada. Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Canada.


Entire Agreement

This agreement constitutes the entire understanding between the candidate and the Company regarding the subject matter herein. Any modifications or amendments to this agreement must be made in writing and signed by both parties.
